FlowPilot CRM Terms and Conditions
Effective Date: 7/1/2026 
These Terms and Conditions, together with any order form, subscription agreement, statement of work, privacy policy, data processing agreement, or other written agreement referencing these terms, govern access to and use of FlowPilot CRM. 
These Terms are entered into by and between FlowPilot CRM, LLC or the applicable FlowPilot operating entity, referred to as “FlowPilot,” “we,” “our,” or “us,” and the business, dealership, company, or individual accessing or using the services, referred to as “Customer,” “you,” or “your.”
By creating an account, accessing the website, using the platform, signing an order form, or otherwise using FlowPilot CRM, you agree to these Terms.

1. Description of Services
FlowPilot CRM provides software tools designed to help marine dealerships and related businesses manage leads, customers, inventory, sales opportunities, follow-up tasks, communications, reporting, and related business workflows.
The services may include, without limitation:
  •  Customer relationship management tools 
  •  Lead capture and lead tracking 
  •  Sales pipeline management 
  •  Inventory-related workflows 
  •  Automated follow-up tools 
  •  Task and calendar management 
  •  Reporting dashboards 
  •  User management 
  •  Integrations with third-party systems 
  •  Website, email, SMS, or other communication-related tools, if enabled 
FlowPilot may modify, improve, update, or discontinue certain features from time to time. 
2. Account Registration and Authorized Users
To use FlowPilot, you may be required to create an account and provide accurate account information.
You are responsible for:
  •  Maintaining accurate account and billing information 
  •  Keeping login credentials secure 
  •  All activity under your account 
  •  Ensuring your authorized users comply with these Terms 
  •  Promptly notifying FlowPilot of unauthorized access or suspected account misuse 
You may only allow employees, contractors, agents, or approved representatives of your business to access your FlowPilot account.
You may not share user accounts between multiple people unless FlowPilot expressly allows it in writing.
3. Customer Responsibilities
You are responsible for your use of FlowPilot and for all information, data, content, files, communications, and materials submitted to or processed through the platform.
You agree that you will:
  •  Use FlowPilot only for lawful business purposes 
  •  Provide accurate information 
  •  Obtain all rights, permissions, consents, and authorizations needed to enter or upload data into FlowPilot 
  •  Comply with applicable laws and regulations 
  •  Train your users on proper use of the platform 
  •  Use communication tools responsibly and legally 
  •  Maintain your own records as required by law or business policy 
You are responsible for determining whether FlowPilot is suitable for your business needs.
4. Customer Data
“Customer Data” means information, content, records, leads, customer details, inventory information, notes, communications, files, and other data submitted to or processed through FlowPilot by or on behalf of you or your authorized users.
As between you and FlowPilot, you retain ownership of your Customer Data.
You grant FlowPilot a limited right to host, process, transmit, display, copy, use, and access Customer Data as necessary to:
  •  Provide the services 
  •  Maintain and improve the platform 
  •  Provide customer support 
  •  Prevent or address security, fraud, or technical issues 
  •  Comply with legal obligations 
  •  Enforce these Terms 
FlowPilot will not sell your dealership customer data.
5. Data Accuracy and Dealership Records
FlowPilot is a business software tool. You are responsible for verifying the accuracy, completeness, legality, and usefulness of information stored in or generated by the platform.
FlowPilot does not guarantee that lead records, customer records, inventory information, reports, sales projections, task reminders, or pipeline information will be error-free or complete.
You should maintain independent records where required for legal, tax, accounting, warranty, employment, sales, compliance, or operational purposes.
6. Communications, Email, SMS, and Follow-Up Tools
FlowPilot may allow users to send, schedule, automate, or track communications with leads, customers, prospects, or other contacts.
You are solely responsible for ensuring that all communications sent through or in connection with FlowPilot comply with applicable laws, including laws related to:
  •  Email marketing 
  •  SMS/text messaging 
  •  Telemarketing 
  •  Call recording 
  •  Consumer consent 
  •  Opt-outs and unsubscribe requests 
  •  Do-not-call rules 
  •  Privacy notices 
  •  Advertising and consumer protection 
You agree not to use FlowPilot to send unlawful, misleading, harassing, abusive, or unauthorized communications.
You are responsible for honoring opt-out, unsubscribe, and do-not-contact requests.
FlowPilot may suspend or restrict communication features if we believe they are being misused or may violate law, carrier rules, platform rules, or third-party service provider requirements.
7. Third-Party Integrations
FlowPilot may integrate with third-party products, websites, software, inventory systems, dealer management systems, communication tools, analytics tools, payment processors, website forms, email platforms, or other services.
Third-party services are not controlled by FlowPilot.
You acknowledge that:
  •  Your use of third-party services may be governed by separate terms and privacy policies 
  •  FlowPilot is not responsible for third-party service availability, performance, security, or data practices 
  •  Data exchanged with third-party services depends on your configuration and authorization 
  •  FlowPilot may modify or discontinue integrations at any time 
FlowPilot is not liable for loss, corruption, delay, disclosure, or unauthorized access caused by third-party services or your configuration of integrations.
8. Subscriptions, Fees, and Payment
Access to FlowPilot may require payment of subscription fees, implementation fees, onboarding fees, usage-based fees, integration fees, support fees, or other charges described in an order form, invoice, or subscription agreement.
You agree to pay all applicable fees when due.
Unless otherwise stated in writing:
  •  Fees are billed in advance 
  •  Fees are non-refundable 
  •  Subscription charges may recur monthly, annually, or on another agreed billing cycle 
  •  Taxes are not included unless expressly stated 
  •  Late payments may result in suspension or termination of access 
  •  FlowPilot may update pricing upon renewal or with prior notice 
You authorize FlowPilot and its payment processors to charge your selected payment method for applicable fees.
9. Automatic Renewal and Cancellation
Unless your order form or written agreement states otherwise, FlowPilot subscriptions automatically renew at the end of each subscription period for the same renewal term or the renewal term stated in your agreement.
By purchasing a subscription, you authorize FlowPilot to charge the applicable subscription fees on a recurring basis until the subscription is canceled or terminated.
Cancellation terms will be described in your order form, subscription agreement, account settings, or written cancellation policy.

Cancellation will take effect at the end of the then-current billing period unless otherwise stated in your order form or required by law.
You will not receive a refund for fees already paid unless required by law or expressly agreed in writing by FlowPilot.
Automatic renewal laws can vary by state. For example, Colorado law requires automatic renewal terms and cancellation information to be presented clearly before the contract is accepted, and updates going into effect in 2026 add online cancellation requirements for certain contracts. 
10. Free Trials, Promotions, and Beta Features
FlowPilot may offer free trials, discounted plans, pilot programs, beta features, or promotional access.
FlowPilot may modify, limit, or terminate trial, beta, or promotional access at any time.
Beta features are provided for evaluation only and may be incomplete, unstable, unavailable, or changed without notice.
Unless otherwise stated, beta features are provided “as is” without warranties, support commitments, or service-level obligations.
11. Acceptable Use
You agree not to:
  •  Violate any law, regulation, contract, or third-party right 
  •  Access FlowPilot without authorization 
  •  Share login credentials improperly 
  •  Reverse engineer, copy, modify, or create derivative works of the platform 
  •  Attempt to bypass security, usage limits, or access controls 
  •  Upload malware, viruses, harmful code, or deceptive content 
  •  Use FlowPilot to send spam or unauthorized communications 
  •  Use FlowPilot to harass, threaten, defame, or abuse others 
  •  Interfere with platform operation or performance 
  •  Scrape, harvest, or extract data except as expressly permitted 
  •  Use FlowPilot to build or support a competing product 
  •  Misrepresent your identity, company, product, services, or offers 
  •  Upload unlawful, sensitive, or restricted data unless expressly permitted by FlowPilot in writing 
FlowPilot may suspend or terminate access if we believe you have violated this section.
12. Security
FlowPilot uses reasonable administrative, technical, and organizational safeguards designed to protect the platform and Customer Data.
However, no software, network, storage system, or transmission method is completely secure.
You are responsible for:
  •  Using strong passwords 
  •  Managing user access 
  •  Removing access for former employees or contractors 
  •  Protecting devices used to access FlowPilot 
  •  Maintaining backups or exports when appropriate 
  •  Promptly reporting suspected security incidents 
FlowPilot is not responsible for unauthorized access caused by your users, compromised credentials, insecure devices, or your failure to manage account permissions.
13. Confidentiality
Each party may receive confidential or proprietary information from the other party.
Confidential information includes non-public business, technical, financial, customer, pricing, product, operational, or strategic information that should reasonably be understood to be confidential.
Each party agrees to:
  •  Protect the other party’s confidential information using reasonable care 
  •  Use confidential information only for purposes related to these Terms 
  •  Not disclose confidential information except to employees, contractors, advisors, service providers, or legal authorities with a legitimate need to know 
  •  Promptly notify the other party of unauthorized disclosure, where legally permitted 
Confidentiality obligations do not apply to information that is publicly available, already known without restriction, independently developed, or lawfully received from another source.
14. Intellectual Property
FlowPilot and its licensors own all rights, title, and interest in and to the platform, website, software, designs, workflows, documentation, trademarks, logos, graphics, user interface, technology, and related intellectual property.
These Terms do not transfer ownership of FlowPilot intellectual property to you.
You may not use FlowPilot’s name, logo, branding, or trademarks without prior written permission, except as reasonably necessary to identify FlowPilot as your software provider.
You grant FlowPilot permission to use feedback, suggestions, ideas, or recommendations you provide without restriction or obligation to compensate you.
15. Aggregated and De-Identified Data
FlowPilot may collect and use aggregated, anonymized, or de-identified data derived from use of the services for analytics, benchmarking, product improvement, reporting, research, marketing, and business purposes.
This data will not identify you, your dealership, or individual customers.
16. Support and Availability
FlowPilot may provide customer support through email, chat, phone, documentation, or other methods.
Support availability, response times, onboarding services, and service-level commitments may be described in a separate agreement.
FlowPilot does not guarantee uninterrupted or error-free service.
The platform may be unavailable due to maintenance, updates, outages, security issues, third-party failures, internet disruptions, or events beyond FlowPilot’s control.
17. Suspension
FlowPilot may suspend access to the services if:
  •  Fees are overdue 
  •  You violate these Terms 
  •  Your use creates security, legal, operational, or reputational risk 
  •  Your account activity appears fraudulent, abusive, or unlawful 
  •  Suspension is required by law, court order, third-party provider, or security concern 
FlowPilot will use reasonable efforts to notify you of suspension unless immediate action is necessary.
18. Term and Termination
These Terms remain in effect while you use FlowPilot.
Either party may terminate the relationship as described in the applicable order form or written agreement.
FlowPilot may terminate or suspend access immediately if you materially violate these Terms.
Upon termination:
  •  Your right to access FlowPilot ends 
  •  You remain responsible for unpaid fees 
  •  FlowPilot may retain or delete Customer Data according to its data retention policies, legal obligations, and applicable agreement 
  •  Sections intended to survive termination will continue, including payment obligations, confidentiality, intellectual property, disclaimers, liability limits, indemnification, and dispute resolution 
19. Customer Data Export and Deletion
Upon termination or cancellation, you may request an export of available Customer Data within [30] days, unless otherwise stated in your agreement.
After the export period, FlowPilot may delete or archive Customer Data according to its standard data retention practices.
FlowPilot may retain certain information as required for legal, tax, accounting, security, fraud prevention, backup, dispute resolution, or compliance purposes.
20. Disclaimers
FlowPilot is provided on an “as is” and “as available” basis.
To the maximum extent permitted by law, FlowPilot disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of:
  •  Merchantability 
  •  Fitness for a particular purpose 
  •  Non-infringement 
  •  Accuracy 
  •  Availability 
  •  Reliability 
  •  Security 
  •  Error-free operation 
FlowPilot does not guarantee that use of the platform will increase sales, improve close rates, prevent lost leads, ensure compliance, or produce any particular business result.
21. Limitation of Liability
To the maximum extent permitted by law, FlowPilot will not be liable for indirect, incidental, special, consequential, exemplary, enhanced, or punitive damages, including lost profits, lost revenue, lost business opportunities, lost goodwill, data loss, or business interruption.
To the maximum extent permitted by law, FlowPilot’s total liability arising out of or relating to these Terms or the services will not exceed the amount paid by you to FlowPilot for the services during the three months immediately preceding the event giving rise to the claim.
Some jurisdictions do not allow certain liability limits, so some limitations may not apply.
22. Indemnification
You agree to defend, indemnify, and hold harmless FlowPilot, its owners, officers, directors, employees, contractors, agents, service providers, licensors, and affiliates from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
  •  Your use of FlowPilot 
  •  Your Customer Data 
  •  Your communications with leads, prospects, or customers 
  •  Your violation of these Terms 
  •  Your violation of law 
  •  Your violation of third-party rights 
  •  Your users’ acts or omissions 
  •  Your products, services, sales process, or dealership operations 
FlowPilot reserves the right to assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with FlowPilot’s defense.
23. Governing Law
These Terms are governed by the laws of the State of Colorado, without regard to conflict of law principles, unless another governing law is stated in a signed written agreement.
24. Dispute Resolution
Before filing a lawsuit, the parties agree to first attempt to resolve disputes informally by written notice and good-faith discussions.

If the dispute is not resolved within 30 days after notice, either party may pursue available legal remedies.
Unless otherwise required by law or agreed in writing, the state and federal courts located in Denver County, Colorado will have exclusive jurisdiction over disputes arising from these Terms.
25. Class Action Waiver
To the maximum extent permitted by law, each party agrees that disputes will be brought only on an individual basis and not as a class, collective, consolidated, representative, or private attorney general action.
26. Changes to These Terms
FlowPilot may update these Terms from time to time.
When we update the Terms, we will revise the “Last Updated” date above.
If changes are material, FlowPilot may provide additional notice by email, in-platform notice, website notice, or other reasonable method.
Continued use of FlowPilot after updated Terms become effective means you accept the updated Terms.
27. Notices
FlowPilot may provide notices by email, in-platform message, website posting, invoice, or other reasonable method.
You are responsible for keeping your contact information current.

28. Assignment
You may not assign or transfer these Terms without FlowPilot’s prior written consent.
FlowPilot may assign these Terms in connection with a merger, acquisition, financing, restructuring, sale of assets, corporate transaction, or transfer of the services.
29. Force Majeure
FlowPilot will not be liable for delays or failures caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, internet outages, utility failures, cyberattacks, government action, third-party provider failures, or other events outside FlowPilot’s control.
30. Entire Agreement
These Terms, together with any applicable order form, subscription agreement, privacy policy, data processing agreement, or referenced document, form the entire agreement between you and FlowPilot regarding the services.
If there is a conflict between these Terms and a signed written agreement, the signed written agreement controls.
